The Receiving Party agrees to hold in strict confidence and not to disclose to any third party any Confidential Information received from the Disclosing Party, except as expressly permitted in writing by the Disclosing Party.

The Receiving Party shall use the Confidential Information solely for the purpose of evaluating and engaging in discussions concerning a potential business relationship between the parties.

The obligations set forth in this Section shall survive for a period of five (5) years from the date of disclosure of the Confidential Information.
